PPG Confidentiality Agreement

  1. Parties
    This confidentiality agreement (the “AGREEMENT”) is between Polished Publishing Group (“PPG”) of Calgary, Alberta, CANADA, and the author(s) (“SELF-PUBLISHER”). This AGREEMENT also extends to all of PPG’s contracted vendors (the “VENDOR”) including, but not limited to, ghostwriters, copy writers, editors, illustrators, graphic designers, indexers, proofreaders, videographers, voiceover artists, publicists, et cetera, who are or may become involved with the SELF-PUBLISHER’s project (“PROJECT”) at any time.
  2. Background (Work-Made-for-Hire Contractor)
    PPG and VENDOR are currently, or may be in the future, retained by the SELF-PUBLISHER as a work-made-for-hire contractor to manage any or all of the following components of his or her PROJECT: book cover and interior design, book publishing and distribution, ghostwriting, copy writing, editing, proofreading, indexing, blogging, ebooks, audiobooks, hardcovers, paperbacks, publicity, advertising, sales coaching, and marketing.
  3. Confidential Information
    PPG and VENDOR will receive from SELF-PUBLISHER, or create on behalf of SELF-PUBLISHER, information as a result of this PROJECT. All parties agree that this is confidential information.
    This confidential information includes SELF-PUBLISHER’s name, personal contact information, intellectual property (including patents, copyrights, and trade secrets), and any other details that SELF-PUBLISHER specifically requests in writing (e.g. email, digital signature) should also be kept confidential.
    This confidential information excludes any information that is generally known in the SELF-PUBLISHER’s industry, that is already in the public domain, that is now or subsequently becomes generally available to the public through no wrongful act of PPG or VENDOR, that PPG rightfully obtains from a third party who has the right to transfer or disclose it, or that pertains to any other details both SELF-PUBLISHER and PPG have agreed in writing (e.g. through email, digital signature) can be disclosed publicly.
  4. Governing Law
    In the event of litigation, all parties agree that the Law of the Province of business registration of PPG shall apply and all parties shall consent to the jurisdiction of said Province’s courts: Alberta, CANADA.
